Welcome to Wear Rose. The website shop-wearrose.com (the "Website") is operated by Wearrose ("Wear Rose", "we", "us", or "our"). These Terms of Service (the "Terms") govern your access to and use of the Website, the purchase of any products, and enrollment in the Wear Rose Club membership program. By accessing the Website, placing an order, or enrolling in the Wear Rose Club, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. Eligibility and acceptance

You must be at least 18 years old and able to enter into a binding contract to purchase from the Website or enroll in the Wear Rose Club. Where you are asked to click a button or check a box to accept these Terms, doing so constitutes your electronic signature and consent. We may modify these Terms at any time; changes are posted on this page with an updated date, and your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

2. Products, pricing and errors

We make reasonable efforts to display our products and prices accurately, but we do not warrant that product descriptions, images, availability or pricing are error-free. We reserve the right to correct errors, update information, refuse or cancel any order placed at an incorrect price, and to limit quantities, in each case with notice to you and a full refund of any amount charged for a cancelled order. All prices are in USD unless stated otherwise.

3. Orders and payment

Your order is an offer to purchase, which we may accept or decline. We may refuse or cancel orders where we suspect fraud, error or product unavailability. By providing a payment method you represent that you are authorized to use it, and you authorize us (through our third-party payment processors) to charge it for your purchases, any Wear Rose Club membership fees you enroll in, shipping, taxes, and other fees disclosed at checkout. We are not responsible for errors made by payment processors. If a charge fails, we may retry it and contact you for updated payment information.

4. The Wear Rose Club (recurring membership)

4.1 Overview

The Wear Rose Club is our optional VIP membership program. Active members receive member pricing of up to 50% off Wear Rose products, expedited order processing, priority customer support, early access to new collections and limited drops, and members-only offers. Benefits are available only while your membership is active and current.

4.2 Enrollment requires your affirmative consent

Wear Rose Club membership is strictly optional and must be actively selected by you. It is never preselected by default, and enrollment always requires an affirmative action from you (such as checking an unchecked box or clicking a clearly labeled enrollment button) after the price, billing frequency, and cancellation method have been clearly disclosed to you.

4.3 Recurring billing and automatic renewal

The Wear Rose Club is billed at $29.99 USD every 30 days. Your first membership payment is charged when you enroll; subsequent payments are charged every 30 days thereafter. UNLESS YOU CANCEL IN ACCORDANCE WITH THESE TERMS, YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AT THE THEN-CURRENT RATE AND AT THE SAME BILLING INTERVAL, AND YOU AUTHORIZE US TO CHARGE YOUR PAYMENT METHOD ON FILE FOR EACH RENEWAL UNTIL YOU CANCEL.

4.4 Reminders and receipts

After enrollment we send you a confirmation email summarizing the membership terms, the amount and frequency of charges, and how to cancel. We send you an electronic reminder 5 to 7 days before each recurring charge, and a receipt after each successful transaction.

4.5 Cancellation — no unreasonable barriers

You may cancel your membership at any time, and no phone call is ever required. You can cancel:

Cancellation requests are processed within 24 hours on business days and confirmed by email. To avoid being charged for the next billing cycle, cancel at least 24 hours before your next scheduled billing date. Upon cancellation you keep your benefits until the end of the period already paid for; no further charges will be made.

4.6 Membership fee refunds

Membership charges are eligible for a refund on request within 14 days of the billing date. Contact support@wear-rose.com with your order email; requests are reviewed case by case and in good faith.

4.7 Failed payments and account updater

If a membership charge fails, we may retry the charge and contact you for updated payment information; benefits may be suspended until payment is received. Your saved payment details may be automatically updated by your card issuer or our processor through account-updater services; you can prevent this by removing your stored payment method or cancelling your membership.

4.8 California subscribers

If you are a California resident, in accordance with Cal. Bus. & Prof. Code § 17600 et seq.: your Wear Rose Club membership renews automatically every 30 days at the then-current price until you cancel; you may cancel easily online at shop-wearrose.com/account, via the cancellation page or by email to support@wear-rose.com; and if the disclosures required by law were not provided to you, you may receive a full refund of unauthorized charges. You may also contact the Complaint Assistance Unit of the California Department of Consumer Affairs, 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

5. Shipping and delivery

Shipping is governed by our Shipping Policy. Delivery dates are estimates only. Title and risk of loss pass to you upon our delivery of the goods to the carrier, except where applicable law provides otherwise. Carrier delivery confirmation to the address you provided shall be deemed conclusive proof of delivery, even without a signature, including for the purposes of resolving non-delivery claims and payment disputes.

6. Returns and refunds

Returns and refunds are governed by our Return & Refund Policy, which includes a 30-day money-back guarantee measured from the confirmed delivery date. Shipping and handling fees are non-refundable.

7. Chargebacks

If you believe a charge was made in error, contact us first at support@wear-rose.com — we resolve billing issues quickly, and most within one business day. We reserve the right to dispute unwarranted chargebacks using our records, including your checkout consent to these Terms, membership enrollment records, renewal reminder emails, and carrier delivery confirmation, and to recover amounts owed, including through invoicing or collection.

8. Promotions and discount codes

Promotional offers, discount codes and member pricing cannot be combined unless expressly stated, have no cash value, and may be modified or withdrawn at any time. We may cancel orders that abuse promotions.

9. Intellectual property

All content on the Website — including text, images, logos, product designs and page layouts — is owned by or licensed to Wearrose and protected by intellectual-property laws. You are granted a limited, revocable, non-exclusive license to use the Website for personal, non-commercial purposes. Any other reproduction or use requires our prior written consent.

10. User content and reviews

By submitting reviews, photos or other content, you grant us a perpetual, worldwide, royalty-free, transferable and sublicensable license to use that content in our business and marketing. You warrant that your content is truthful, reflects your genuine experience, is owned by you, and does not infringe any third-party rights. We may remove content at our discretion.

11. Email and SMS communications

If you opt in to marketing emails or texts, you can opt out at any time — via the unsubscribe link in any email, or by replying STOP to any text message. Consent to marketing messages is never a condition of purchase. Message and data rates may apply to texts.

12. Prohibited uses

You may not use the Website for any unlawful purpose; commit fraud or make unauthorized transactions; interfere with the Website's security or operation; scrape or harvest data; upload malicious code; impersonate any person; infringe intellectual-property rights; or collect other users' information. We may refuse service, suspend accounts and cancel orders for violations.

13. Disclaimer of warranties

THE WEBSITE, PRODUCTS, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WEARROSE, ITS OWNERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, ANY PRODUCT OR THE WEAR ROSE CLUB, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify and hold harmless Wearrose from any claims, damages and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Website, or your violation of any law or third-party right.

16. Time limit on claims

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, ANY PRODUCT OR THE WEAR ROSE CLUB MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE IT IS PERMANENTLY BARRED.

17. Dispute resolution — binding arbitration and class action waiver

Please read this section carefully — it affects your legal rights.

17.1 Informal resolution first. Before starting arbitration, you agree to send a written notice of the dispute to Wearrose, Attn: Legal, 2106 House Ave, Suite 798, Cheyenne, WY 82001, United States, or to support@wear-rose.com, including your name, contact details, a description of the claim, and the relief sought. The parties will attempt in good faith to resolve the dispute within 30 days.

17.2 Arbitration. Any dispute not resolved informally shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitrator may award all remedies available in court on an individual basis. Either party may instead bring an individual claim in small-claims court.

17.3 Class action waiver. YOU AND WEARROSE AGREE THAT ALL DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR HAS NO AUTHORITY TO CONDUCT CLASS PROCEEDINGS. If any dispute proceeds in court, both parties waive the right to a jury trial to the fullest extent permitted by law.

17.4 Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to Wearrose, Attn: Legal, 2106 House Ave, Suite 798, Cheyenne, WY 82001, United States, including your name, address, email, and a clear statement that you opt out of arbitration.

18. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except as provided in Section 17.

19. General

We are not liable for delays or failures caused by events beyond our reasonable control (including carrier delays, supply-chain disruptions, processor outages, natural disasters and government actions). If any provision of these Terms is held invalid, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or asset sale. These Terms, together with our Privacy Policy, Return & Refund Policy and Shipping Policy, constitute the entire agreement between you and us.
